- Supply required content (text, images, logos, etc.) in a timely manner.
- Review and provide feedback on deliverables within agreed-upon timeframes.
- Ensure you have the rights to any content you provide to us.
3. Payments
- Payment terms, amounts, and schedules will be specified in the project proposal or agreement.
- A deposit may be required before work begins.
- All payments are non-refundable once work has commenced, unless otherwise stated in writing.
- Late payments may result in project delays or suspension of services.
4. Intellectual Property
- Client Content: You retain all rights to content you provide to us (text, images, trademarks, etc.).
- Deliverables: Upon full payment, ownership of the final deliverables transfers to you, except for any pre-existing intellectual property, third-party assets, or open-source components used in the project.
- Portfolio Rights: We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.
5. Project Timeline
Estimated timelines will be provided in the project proposal. Deadlines depend on timely receipt of client content and feedback. Delays caused by the client may extend the project timeline accordingly.
6. Revisions
Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the included rounds may incur extra charges at our standard hourly rate.
7. Third-Party Services
Our projects may involve third-party platforms, tools, or services (e.g., hosting providers, domain registrars, plugins). We are not responsible for the terms, pricing, availability, or performance of third-party services. Any fees associated with third-party services are your responsibility unless explicitly included in our proposal.
8. Limitation of Liability
To the fullest extent permitted by law:
- Digital Vision Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website.
- Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
9. Warranty Disclaimer
Our services and website are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our website or deliverables will be error-free, uninterrupted, or meet all of your expectations.
10. Termination
- Either party may terminate a project by providing written notice.
- If you terminate a project, payment is due for all work completed up to the date of termination.
- We reserve the right to terminate a project if payment is not received or if these Terms are violated.
11. Indemnification
You agree to indemnify and hold harmless Digital Vision Studios, its owners, employees, and contractors from any claims, damages, losses, or expenses arising from your use of our services, your content, or your breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Lake County, Illinois.
13. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with the updated effective date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
